Terms of Service

1. Acceptance of Terms

By accessing or using Reputify (the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use the Service. These Terms constitute a legally binding agreement between you (“you” or “Client”) and SkyBlueMedia operating as Reputify (“we,” “us,” or “Company”), with its principal place of business in North Macedonia.

By creating an account or accepting a service proposal from SkyBlueMedia, you confirm that you have read, understood, and agree to be bound by these Terms.

2. Description of Service

Reputify is a software-as-a-service (SaaS) reputation management tool that helps local businesses collect customer ratings, encourage satisfied customers to leave public reviews on Google, and route dissatisfied customers to a private feedback form. The Service includes:

  • A customer-facing rating and feedback collection funnel
  • A business owner dashboard for reviewing feedback and analytics
  • Email notifications for negative feedback
  • QR code generation for in-store deployment
  • Monthly performance reports
  • Agency management tools for SkyBlueMedia to administer client accounts

The Service is operated by SkyBlueMedia as a managed service for restaurant, e-commerce, and local service business clients. SkyBlueMedia handles account setup and ongoing management on your behalf.

3. User Accounts and Responsibilities

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

  • Provide accurate and complete information during account setup
  • Notify us immediately at hello@reputify.co if you suspect unauthorized access to your account
  • Ensure that anyone who uses the Service under your account complies with these Terms
  • Keep your notification email addresses current so you receive alerts about customer feedback

We reserve the right to terminate accounts that provide false, inaccurate, or misleading information.

4. Acceptable Use Policy

You agree not to use the Service to:

  • Violate any applicable law or regulation, including consumer protection and advertising laws
  • Engage in review gating in a manner that violates Google's review policies or applicable regulations (the Service is designed to comply with platform policies by offering all customers the opportunity to leave a public review)
  • Collect, store, or process personal data of children under the age of 18
  • Send spam, unsolicited messages, or misleading communications to your customers
  • Attempt to gain unauthorized access to any portion of the Service or its related systems
  • Interfere with or disrupt the integrity or performance of the Service
  • Use the Service for any fraudulent purpose or to impersonate any person or entity

We reserve the right to suspend or terminate your account for violations of this policy at our sole discretion.

5. Intellectual Property

The Service, including all software, algorithms, designs, text, graphics, and other content provided by us, is owned by SkyBlueMedia and is protected by applicable intellectual property laws. Nothing in these Terms grants you any right to use our trademarks, logos, or brand names without our prior written consent.

You retain all rights to the content and data you submit through the Service, including customer feedback and business information. You grant us a limited, non-exclusive licence to process, store, and display such content solely for the purpose of providing the Service to you.

6. Payment Terms

Use of the Service is subject to the following fees, which are billed through our payment processor:

  • Setup fee: A one-time fee of $100 USD is due prior to or upon account activation. This fee covers account configuration, QR code materials, and initial onboarding.
  • Monthly subscription: A recurring fee of $50 USD per month per business location is charged at the beginning of each billing period.

All fees are in US dollars unless otherwise stated. You authorise us to charge your payment method on file for all applicable fees. If a payment fails, we may suspend access to the Service until payment is received. We reserve the right to adjust pricing with 30 days' written notice to you.

7. Cancellation and Termination

Either party may cancel the Service at any time by providing written notice to the other party. Upon cancellation:

  • Your access to the Service will continue until the end of the current billing period
  • No further monthly charges will be applied after the cancellation date
  • Access to the dashboard and all associated data will be revoked at the end of the billing period
  • You may request a copy of your data prior to the access revocation date by contacting hello@reputify.co

We may terminate your account immediately and without notice if you breach these Terms, fail to pay applicable fees, or engage in conduct that we determine, in our sole discretion, is harmful to us, other users, or third parties.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

We do not guarantee any specific outcome, including a specific number of Google reviews, a specific star rating, or any improvement in your business's online reputation. Results will vary depending on your business, your customers, and factors outside our control.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SKYBLUEMEDIA, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

10. Data Ownership

You own all data that you and your customers submit through the Service, including customer feedback, ratings, and contact information (“Your Data”). We process Your Data on your behalf in accordance with our Privacy Policy and solely for the purpose of providing the Service.

We will not sell, rent, or share Your Data with third parties for their own marketing purposes. Upon termination of your account, you may request export of Your Data prior to deletion. We retain data as described in our Privacy Policy.

11. Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by updating the “Last updated” date at the top of this page and, where practicable, by sending an email notification to your registered email address. Your continued use of the Service after any such changes constitutes your acceptance of the revised Terms. If you do not agree to the modified Terms, you must stop using the Service.

12. Governing Law

These Terms are governed by and construed in accordance with applicable law, without regard to conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the competent courts of North Macedonia, unless otherwise agreed in writing by both parties.
